Gatchy™ Charity Partner Policy

What this is This policy explains how registered charities participate in the Gatchy™ platform — how donations flow, what we require, and what you’re agreeing to. All charities must be vetted by GoodCompany and agree to the GoodCompany Charity Participation Agreement before appearing on the platform.

1. About Gatchy and GoodCompany

Gatchy™ is a world-first augmented reality charitable giving platform operated by GoodCompany Technologies Pty Ltd (ACN xxxxxxxx) (“Technologies”). Gatchy enables consumers to visit participating retail stores, scan an in-store AR marker, perform a “catch” gesture, and trigger a real donation to a charity of their choice — at zero cost to the consumer. Donations are funded entirely by the retailer.

Donations generated through Gatchy are managed by GoodCompany Foundation Ltd (ACN 124 219 129) as trustee for GoodCompany Foundation (ABN 54 120 979 809) (“Foundation”), a registered charity with Deductible Gift Recipient (DGR) status. The Foundation holds donation funds in trust and remits them to Charity Partners through the existing GoodCompany Charity Bills process.

GoodCompany Enterprises Pty Ltd (ACN 160 702 527) as trustee for GoodCompany Enterprises Unit Trust (ABN 74 765 523 619) (“GC”) administers the GoodCompany charity program, including charity vetting, the charity registry, and the Charity Participation Agreement.

Key point: The Gatchy platform connects to GoodCompany’s existing charity registry of 2,000+ vetted charities. If your charity is already registered with GoodCompany, you are likely already eligible to appear on Gatchy.

2. Who Can Participate

2.1 Eligibility Requirements

To be listed as a Charity Partner on the Gatchy platform, your organisation must:

  • Be a registered charity in Australia or New Zealand

  • Hold current registration with the Australian Charities and Not-for-profits Commission (ACNC) if operating in Australia, or be registered under the Charities Act 2005 if operating in New Zealand

  • Have a current ABN (Australia) or New Zealand Business Number (NZBN)

  • Have completed GoodCompany’s charity vetting and onboarding process and be registered in the GoodCompany charity registry

  • Have entered into — or agree to enter into — the GoodCompany Charity Participation Agreement with GC and the Foundation

  • Not operate in or be materially associated with any industry category on the Platform Prohibited List (see Section 8)

2.2 Existing GoodCompany Charities

If your organisation is already registered in the GoodCompany charity registry and has an active Charity Participation Agreement, you are automatically eligible for Gatchy platform participation. Your participation is governed by the Gatchy Platform Participation Addendum to your existing Charity Participation Agreement.

You do not need to take any action to participate. When a Gatchy Retailer selects your charity for a Gatch Campaign, donations will flow to you automatically through the existing Charity Bills process at no additional cost.

2.3 New Charities

If your organisation is not yet registered with GoodCompany, you must complete the full GoodCompany charity registration and vetting process before you can appear on the Gatchy platform. To begin, visit www.goodcompany.com.au/charities or contact us at charities@goodcompany.org.au.

New charity registrations are subject to GoodCompany’s standard vetting criteria and approval timeline (typically 5–10 business days). There is no fee to register.

3. Charity Vetting and Approval

3.1 Why We Vet

GoodCompany’s vetting process exists to protect users, retailers, and existing charity partners. Every charity on the Gatchy platform has been independently reviewed to confirm that it is a legitimate, compliant, and appropriately governed charitable organisation.

3.2 What We Assess

GoodCompany’s vetting process covers the following areas:

  • Legal status: confirmation of ACNC or New Zealand Charities Services registration, valid ABN or NZBN, and DGR status (where applicable)

  • Governance: review of the organisation’s constitution, board structure, and compliance with applicable charity regulations

  • Financial health: review of recent financial statements or annual returns filed with ACNC or the relevant New Zealand authority

  • Reputation: assessment of publicly available information, news, complaints history, and ACNC compliance record

  • Mission alignment: confirmation that the organisation’s charitable purpose is consistent with Gatchy’s values and broad user and retailer audience (including minors)

  • Platform Prohibited List: confirmation that the organisation does not operate in or derive material revenue from any prohibited industry category (Section 8)

3.3 Ongoing Compliance

Charity registration with GoodCompany is not a one-time process. GoodCompany reserves the right to conduct periodic re-vetting of all registered charities, including in response to:

  • Changes in the charity’s legal status, registration, or ACNC compliance record

  • Material changes to the charity’s mission, governance, or key personnel

  • Complaints or concerns raised by Gatchy users, retailers, or other charity partners

  • Media coverage or reputational events that may affect the charity’s suitability for the platform

 

GoodCompany may suspend or remove a charity from the platform at any time if it reasonably determines that the charity no longer meets eligibility requirements. Where possible, GoodCompany will provide notice and an opportunity to respond before taking such action.

3.4 Decisions Are Final

GoodCompany’s decisions on charity vetting and approval are made at its sole discretion. GoodCompany is not obligated to provide reasons for a decision to decline or remove a charity, and its decisions are not subject to appeal. This does not affect any rights you may have under applicable law.

4. The Charity Participation Agreement

All charities on the GoodCompany platform — and by extension the Gatchy platform — must enter into the GoodCompany Charity Participation Agreement with GC and the Foundation. This agreement governs the full relationship between your organisation and GoodCompany, including donation flows, data handling, branding use, and your obligations as a registered charity partner.

Participation in the Gatchy platform is governed by the Gatchy Platform Participation Addendum to the Charity Participation Agreement. The Addendum covers:

  • How Gatch Donations are generated and remitted to your charity

  • Your opt-out rights — including the ability to opt out of individual retailers or the platform entirely

  • How your charity’s name and logo are displayed within the Gatchy AR experience

  • Your promotion obligations and the Gatchy Promotion Kit

  • Data and reporting: what information you receive and what you must not do with it

  • Additional warranties relating to your promotional activities

  • Specific indemnity provisions for Gatchy-related activities

Important: By continuing to participate in the GoodCompany charity registry after receiving notification of the Gatchy platform launch, existing charity partners are taken to have agreed to the Gatchy Platform Participation Addendum. New charities must expressly accept both the Charity Participation Agreement and the Gatchy Addendum as part of the registration process.

5. Contacts Access (Invite Feature)

5.1 The Donation Flow

When a Gatchy user performs a successful Gatch at a participating store, the following occurs:

  • The user selects your charity from the available list in the Gatchy app

  • A $1.00 donation (or the amount configured by the retailer) is triggered

  • The donation is drawn from the Gatchy Retailer’s pre-funded Donation Credits held in trust by the Foundation

  • The Foundation records the donation and remits funds to your charity through the standard Charity Bills process

  • The donation appears as an aggregate line item in your existing GoodCompany Admin Portal

 

5.2 User Choice

Gatchy is a user-choice platform. Individual Gatchy users select which charity they wish to support at the time of each Gatch. Retailers do not nominate a single charity — they make all charities in the registry available for user selection. This means your charity may receive donations from any retailer whose users choose you.

5.3 No Cost to Charities

There is no fee for charities to participate in the Gatchy platform. Gatchy participation is included in the existing GoodCompany charity registration at no additional cost. GoodCompany does not deduct any fee or commission from Gatch Donations before remitting them to your charity.

5.4 Donation Reporting

Gatch Donation data is accessible through your existing GoodCompany Admin Portal as an

aggregate line item within your standard donation history and reports. You will not receive

individual user-level data (user names, emails, or catch history) unless the user has provided

explicit opt-in consent through the Gatchy platform.

6. Your Opt-Out Rights

Participation in the Gatchy platform is designed to be frictionless and beneficial for charities.However, you retain the following opt-out rights at any time:

6.1 Full Opt-Out:

You may elect to be completely excluded from the Gatchy platform by written notice to GC (including via the Admin Portal). If you exercise a Full Opt-Out, your charity will not appear in the Gatchy charity registry for retailer or user selection and you will not receive Gatch Donations. Your participation in all other GoodCompany programs is unaffected.

6.2 Retailer-Specific Opt-Out:

You may maintain an Exclusion List of specific Gatchy Retailers that you do not wish to be associated with. Your charity will remain available for selection by all other retailers. Exclusion Lists can be managed through the Admin Portal or by written notice to GC.

6.3 Campaign Transition:

If you exercise an opt-out while a Gatch Campaign naming your charity is active, GoodCompany will use best endeavours to halt the campaign as soon as reasonably practicable. Any donations triggered before the campaign is halted will be honoured and remitted to your charity.

6.4 Re-joining:

You may re-join the platform at any time after exercising a Full Opt-Out by notifying GC in writing. Re-joining is subject to re-vetting if GoodCompany considers it necessary.

7. Your Charity’s Presence on the Platform

7.1 How Your Charity Appears

When a Gatchy user performs a Gatch, they select your charity from a list displaying your charity’s name and logo. Your charity’s name and logo may also appear within the Gatchy AR catch experience itself, in the Gatchy app, and in retailer-facing materials.

7.2 Logo and Branding

By participating in Gatchy, you grant GoodCompany Technologies, GC, and the Foundation a non-exclusive, royalty-free licence to display your charity’s name and nominated logo within the Gatchy platform and related marketing for the duration of your participation. This licence is subject to the same usage restrictions as your existing Charity Participation Agreement.

You may update your nominated logo and display preferences at any time through the Admin Portal. Changes will be applied within 5 business days.

7.3 The Gatchy Promotion Kit

When a Gatch Campaign naming your charity goes live, the Gatchy platform will automatically send your charity a Gatchy Promotion Kit containing:

  • The retailer’s name and participating stores

  • Campaign date range and donation amount per Gatch

  • A unique link and QR code to share with your supporters

  • The campaign’s total fundraising target (if set by the retailer)

  • Suggested social media copy and messaging templates

 

You are encouraged to actively promote Gatch Campaigns through your own channels — the more your supporters visit participating stores, the more donations flow to your charity. When promoting, you must accurately represent the campaign mechanics (user pays nothing; retailer funds the donation) and comply with all applicable advertising standards.

8. Platform Prohibited List

GoodCompany maintains a Platform Prohibited List of industry categories from which retailers are not permitted to participate in Gatchy, regardless of their willingness to pay. This list exists to protect the integrity of the platform and the reputations of participating charities.

The following industry categories are prohibited from the Gatchy platform:

  • Gambling (all forms, including online gambling, sports betting, and lottery operators)

  • Tobacco, vaping, and e-cigarette products

  • Alcohol (unless specifically and individually approved by GoodCompany in writing)

  • Adult content and services

  • High-risk financial products, including payday lending, short-term credit, and unregulated investment schemes

  • Weapons and firearms retailers

  • Any category that GoodCompany reasonably determines is inconsistent with Gatchy’s charitable positioning and broad user demographic, including minors

 

GoodCompany may update the Platform Prohibited List from time to time at its discretion. Charities will be notified of material changes to the list. If you have concerns about a specific retailer appearing on the platform, please contact charities@goodcompany.org.au.

9. Data and Privacy

9.1 GoodCompany collects and processes user data in accordance with the Gatchy Privacy Policy and the Australian Privacy Principles under the Privacy Act 1988 (Cth).

9.2 You will not receive individual Gatchy user data (user names, email addresses, individual catch history, or location data) unless the user has provided explicit opt-in consent through the Gatchy platform.

9.3 You must not attempt to identify, contact, or profile individual Gatchy users using data obtained through the Admin Portal, remittance reports, or any other means.

9.4 The privacy obligations in your Charity Participation Agreement apply equally to any user information you receive through the Gatchy platform.

9.5 Gatch Donation data shared with you is for internal reporting and impact measurement only. You must not share individual campaign data with third parties without GoodCompany’s written consent.

10. Charity Obligations

By participating in the Gatchy platform, you agree to:

  • Maintain your ACNC registration (or equivalent New Zealand registration) and promptly notify GoodCompany of any changes to your registration status, governance, or charitable purpose

  • Keep your charity profile, logo, and contact details up to date in the Admin Portal

  • Accurately represent the Gatchy platform and Gatch Campaign mechanics in all promotional materials (user pays nothing; retailer funds the donation)

  • Not make fundraising claims that exceed a campaign’s configured budget

  • Not use the Gatchy platform, Gatch Donations, or your association with a Gatchy Retailer as an endorsement of that retailer’s products or services without a separate agreement directly with that retailer

  • Promptly notify GoodCompany if you become aware of any Gatchy Retailer activity that you believe is inconsistent with your charity’s values, mission, or public positioning

  • Exercise any opt-out rights in good faith and not use the opt-out mechanism as leverage to seek commercial advantage from a Gatchy Retailer

  • Comply with all applicable laws, including the Australian Consumer Law, the Privacy Act 1988 (Cth), and any applicable New Zealand legislation

11. Suspension and Removal

11.1 GoodCompany may suspend or remove your charity from the Gatchy platform (without affecting your broader participation in GoodCompany programs) where: (a) your ACNC or New Zealand registration is suspended or revoked; (b) you are found to be in breach of the Charity Participation Agreement or this Policy; (c) GoodCompany reasonably determines that your continued presence on the platform poses a reputational, legal, or operational risk; or (d) your organisation’s activities are

the subject of a formal investigation by a regulatory authority.

11.2 Where practicable, GoodCompany will provide at least 5 business days’ notice before removing a charity from the platform, other than in cases requiring immediate action.

11.3 Any Gatch Donations triggered before suspension or removal will be honoured and remitted to your charity in the ordinary course.

12. Changes to This Policy

GoodCompany may update this Charity Partner Policy from time to time to reflect changes in the Gatchy platform, our practices, or applicable laws. Where we make material changes, we will notify registered charity partners via email or through the Admin Portal at least 30 days before the changes take effect.

Continued participation in the Gatchy platform after the effective date of any update constitutes acceptance of the revised Policy. The  current version of this Policy will always be available at www.gatchy.com.au/charity-policy.
